These Terms & Conditions ("Terms") govern your access to and use of the Clinic Pro UK platform and services provided by Clinic Pro UK Ltd ("Clinic Pro UK", "we", "us"). By registering for or using our services you agree to be bound by these Terms. If you do not agree, do not use our services.
Definitions
- "Platform" — the software-as-a-service product available at withclinicpro.co.uk and any associated applications
- "Customer" / "you" — the clinic, business or individual accepting these Terms
- "Authorised User" — any employee or contractor of the Customer granted access
- "Subscription" — the plan purchased by the Customer as described in the relevant order form or pricing page
- "Content" — any data, text, images or material uploaded to or generated on the Platform by you
The service
Clinic Pro UK provides a practice management and marketing platform designed for UK aesthetic, travel, pharmacy and wellness clinics. We grant you a limited, non-exclusive, non-transferable licence to access and use the Platform during your Subscription term, solely for your internal business purposes.
We reserve the right to update, modify or discontinue features of the Platform at any time. Where a change materially reduces functionality, we will provide reasonable notice.
Your account
You must provide accurate, complete and current information when registering. You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activity that occurs under your account
- Ensuring only Authorised Users access the Platform
- Promptly notifying us of any suspected unauthorised access at info@withclinicpro.co.uk
You must not share account credentials or allow access to users who are not Authorised Users under your Subscription plan.
Acceptable use
You agree not to use the Platform to:
- Violate any applicable law, regulation or third-party rights
- Transmit unlawful, defamatory, obscene or harmful Content
- Attempt to gain unauthorised access to any system or data
- Introduce malware, viruses or other malicious code
- Reverse engineer, decompile or copy any part of the Platform
- Resell or sub-licence access to the Platform without prior written consent
- Scrape, crawl or extract data from the Platform through automated means
- Use the Platform in a way that degrades the experience of other users
We may suspend or terminate access immediately where we reasonably believe you are in breach of this section.
Payment & billing
Subscription fees are payable in advance according to your chosen billing cycle (monthly or annual). All prices are in GBP and exclude VAT unless stated otherwise.
- Payment is processed automatically on each renewal date via our payment provider
- If a payment fails we will notify you and grant a short grace period to update billing details
- Annual subscriptions are non-refundable except as required by law or as expressly stated in our refund policy
- We may change pricing on reasonable notice (minimum 30 days). Continued use after a price change constitutes acceptance
All invoices and VAT receipts are available within your account dashboard.
Intellectual property
Our IP
All rights in the Platform, including software, design, trademarks, documentation and underlying technology, remain vested in Clinic Pro UK Ltd. Nothing in these Terms transfers any ownership to you.
Your Content
You retain ownership of all Content you upload. By uploading Content, you grant us a limited licence to process, host and display it solely to provide the services to you. You warrant that you have the rights necessary to grant this licence and that your Content does not infringe third-party rights.
Feedback
Any suggestions or feedback you provide may be used by us without restriction or compensation.
Confidentiality
Each party agrees to keep the other's Confidential Information (defined as non-public business information designated as confidential or which a reasonable person would recognise as confidential) in strict confidence and not to disclose it to third parties without prior written consent, except as required by law. This obligation survives termination of the agreement for a period of five years.
Limitation of liability
To the fullest extent permitted by law:
- The Platform is provided "as is" without warranties of any kind, express or implied
- We do not warrant that the Platform will be uninterrupted, error-free or secure
- Our total aggregate liability arising from these Terms shall not exceed the fees paid by you in the 12 months preceding the claim
- We shall not be liable for any indirect, incidental, consequential, special or exemplary loss, including loss of profit, loss of data or loss of business opportunity
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under English law.
Termination
Either party may terminate the Subscription at the end of any billing period by providing notice through the account dashboard or by emailing us.
We may suspend or terminate your access immediately if you breach these Terms, fail to pay fees within the grace period, or become insolvent. On termination:
- Your licence to use the Platform ceases immediately
- You may request an export of your data within 30 days of termination; after this period we may delete it
- Accrued payment obligations survive termination
General
- Governing law — These Terms are governed by English law. Disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales
- Entire agreement — These Terms, together with any order form, constitute the entire agreement between the parties regarding the Platform
- Waiver — Failure to enforce any provision shall not constitute a waiver
- Severability — If any provision is found unenforceable, the remainder shall continue in full force
- Assignment — You may not assign your rights or obligations without our prior written consent. We may assign our rights on reasonable notice
- Force majeure — Neither party is liable for delays caused by circumstances beyond their reasonable control
